Evercore's technical session chains multiple concepts together, such as a truck purchase requiring you to calculate the debt/equity split, first-year depreciation, interest expense, and after-tax income in a single extended problem. Practice linking three-statement walkthroughs to valuation impacts without losing track of the moving pieces.

The technical interview uses creative examples like comparing Las Vegas refrigerator sales to a coin-flip business to test whether you truly understand beta versus total volatility. Prepare to explain why a highly volatile asset can have zero beta and how diversification eliminates idiosyncratic but not systematic risk.

The technical session includes a full walkthrough of paid-in-kind debt, where interest accrues to the principal balance rather than being paid in cash. This tests your understanding of how PIK affects the income statement, balance sheet, and cash flow statement differently from traditional cash-pay debt, a concept that frequently appears in LBO contexts.

Synergy Break-Even Analysis in M&A

A complex M&A problem asks you to calculate how much in synergies would be needed to make a dilutive deal accretive, factoring in a 25 percent premium and a 40 percent tax rate. Evercore tests whether you can work backwards from accretion/dilution to determine the minimum value creation required to justify a transaction.

Focus on Independent Advisory and Lean Teams

The behavioral session explicitly asks why Evercore over other firms and probes your understanding of what independent advisory means in practice. Evercore values candidates who appreciate that the absence of underwriting and lending businesses means advice is unconflicted, and that lean deal teams mean more direct exposure to senior bankers and clients.
