Key Topics Covered

Enterprise Value vs. Equity Value Framework

Covers what each metric represents, who each value belongs to, and the economic reasoning behind why Enterprise Value is capital-structure-neutral while Equity Value captures only the equity holders' residual claim.

The EV Bridge & Every Component

Walks through each line item in the bridge from Equity Value to Enterprise Value including debt, cash, minority interest, preferred stock, unfunded pensions, and long-term investments, explaining why each is added or subtracted.

Treasury Stock Method & Dilution Mechanics

Demonstrates how to calculate diluted shares outstanding with numerical examples, covering in-the-money versus out-of-the-money options, warrants, and convertible securities, plus a multi-security dilution problem.

Edge Cases: Negative EV, Convertibles & Preferred Stock

Explores when Enterprise Value can turn negative, why market Equity Value of a public company cannot be negative, when convertible bonds are treated as debt versus equity, and the reasoning behind preferred stock placement in the bridge.

Transaction Impact Analysis

Tests how events like stock splits, debt-financed asset purchases, equity issuances at IPO, dividend payments, and share buybacks each change Enterprise Value and Equity Value independently, using both the EV formula and first-principles reasoning.

How to Prepare for Enterprise & Equity Value Interviews

1

Memorize the full EV bridge formula and be able to explain the intuition behind every single add-back and subtraction. The basic session tests each component individually, and interviewers will ask why, not just what.

2

Practice the Treasury Stock Method calculation with concrete numbers until you can walk through it quickly under pressure. The basic session includes a detailed numerical example that mirrors what interviewers expect you to replicate live.

3

For transaction impact questions, build a mental checklist: what happens to cash, debt, shares outstanding, and net assets. The advanced session chains multiple transactions together, so systematic thinking beats memorization.

4

Understand the difference between market Equity Value and book shareholders' equity on the balance sheet. This is a common trick question in the basic session that catches candidates who conflate the two concepts.

About This Enterprise & Equity Value Mock Interview

These sessions build a complete understanding of the two most important valuation metrics in finance. The basic session covers what Enterprise Value and Equity Value represent, the EV formula and every bridge component, minority interest reasoning, the Treasury Stock Method with numerical examples, negative EV and negative equity value scenarios, preferred stock treatment, convertible bond dilution, and unfunded pension obligations. The advanced session tests how stock splits, debt-financed equipment purchases, IPOs, dividends, and share buybacks each affect EV and Equity Value, plus multi-security dilution problems, Modigliani-Miller capital structure theory, and multi-part EPS-to-EV/EBITDA reconstructions.

This topic is part of the Core Concepts section of our investment banking mock interview library. It includes 2 sessions covering both basic and advanced difficulty levels. Each session includes multi-speaker audio with realistic interviewer questions and candidate responses, plus a full interactive transcript you can follow along with or study independently.

The IB Vine technical prep is beyond helpful, it's so much more fun quizzing myself every now and then vs. reading through the guides again.

I personally found that the 'IB Vine Select' collection had some of the exact questions I was asked in my Qatalyst interviews.

Check out IB Vine, specifically the 'IB Vine Select' questions. Once you can get a handle of those, it seems like you are in a spot where you're applying the concepts rather than simply memorizing them

Beyond the 400 questions guide, try to understand a deeper level and the underlying concepts of the questions being asked. Use ibvine, it really helps.

IB Vine has excellent questions, especially multistep ones. In my experience I've gotten grilled on accretion/dilution, bond math, and merger model questions. IB Vine has great practice for all of those.

As a nontraditional transfer student who has been rendered unavailable to many resources at my university (Leadership positions at clubs, immediately behind the recruiting cycle, etc.) IB Vine has been an absolute game changer in my IB prep.

From my experience interviewing FT for IB, it’s not enough to just know the 400 questions anymore (it’s a good starting point) but to look at even more advanced questions. Would recommend IB Vine.

Just got off the phone with a kid who interned at a Dallas PE firm. He mentioned that IB Vine helped him secure that internship as well as his Summer Analyst offer, especially since he came from a non-target with no resources.
