How to Prepare for Mergers & Acquisitions (M&A) Interviews
Master the P/E shortcut for all-stock deals first, then build to mixed-financing scenarios. The advanced session shows how switching from 100% stock to a cash-debt-stock mix can flip a dilutive deal to accretive, and interviewers expect you to explain the mechanics behind that shift.
Always apply a margin haircut to revenue synergies in your calculations. The sessions specifically test whether candidates know that cost synergies flow dollar-for-dollar to EBITDA while revenue synergies only contribute their gross margin percentage — a distinction that frequently trips up candidates.
Be ready to calculate break-even synergies for a dilutive deal. The advanced session includes problems where you must back into the exact pre-tax synergies needed to make pro forma EPS equal standalone EPS, and this is a common real interview question.
Prepare a thoughtful answer for when you would recommend a dilutive acquisition. Interviewers want to hear that you understand accretion is a mechanical EPS test, not a value creation test, and that strategic benefits can justify short-term dilution if there is a credible path to accretion within two to three years.
