Greenhill tests LBO knowledge comprehensively: ideal candidate characteristics, all eight ways to increase IRR, dividend recap mechanics and their differing effects on IRR versus MOIC, and LBO model circularity. Prepare to discuss each lever with specific examples of how it creates value.

Practice Layered M&A Accretion/Dilution Problems

The interview features multiple M&A problems of increasing complexity: a standard all-stock deal, then adding synergies to find break-even, then a mixed cash/debt deal. Practice solving each variation and connecting them to the underlying earnings yield comparison framework.

Understand Distressed Valuation Indicators

Be ready to explain what negative implied equity value means, why Tesla can have strong equity performance but a B credit rating, and the characteristics of distressed companies. These questions test whether you understand the disconnect between equity and credit markets.

Master the Capital Allocation Hierarchy

Greenhill asks you to rank CEO uses of cash from least to most discretionary. Practice this framework: operational requirements, debt repayment, core business reinvestment, acquisitions, and shareholder returns. Understand the reasoning behind each ordering.

What Makes Greenhill Interviews Unique

Credit Rating Versus Equity Market Paradox

The interview uses Tesla as a case study to explore why a company can perform well in equity markets while having a low credit rating. This tests understanding of the fundamental difference between equity upside potential and credit downside protection.

Beta Ranking Across Unconventional Asset Classes

A unique question asks you to rank betas of a utilities company, a technology company, and a slot machine. The slot machine has zero beta because its returns are purely random. This tests whether candidates understand beta as market correlation, not just volatility.

Equity Repurchase Accretion Analysis With Debt Financing

Rather than a standard M&A accretion question, Greenhill asks about a leveraged share repurchase and whether it is accretive to EPS. This requires comparing the after-tax cost of debt to the implied cost of equity (inverse of P/E).

Dividend Recap IRR Versus MOIC Distinction

The interview specifically asks how a dividend recap affects IRR versus MOIC differently. This is a nuanced concept: IRR rises because cash is returned earlier (time-weighting effect), while MOIC stays flat because total dollars returned are unchanged.
