Rothschild opens with 'how would you value a coffin company,' testing whether you can identify the unique characteristics (non-cyclical demand, demographic-driven growth, stable costs) and adapt standard DCF and comps frameworks accordingly. Practice valuing unusual businesses.

Know When and Why to Look Beyond EBITDA

The interview specifically asks what is wrong with both EBITDA and EBIT as metrics and advocates for EBITDA-minus-capex as a superior cash flow proxy. Be prepared to articulate why each metric can mislead and when capital-intensity makes EBITDA particularly unreliable.

Understand How Taxes Flow Through a DCF in Three Places

Rothschild asks you to identify the three places taxes affect a DCF: NOPAT in free cash flow, the after-tax cost of debt in WACC, and the Hamada equation for beta conversion. Know how a tax increase affects each component and the net impact on valuation.

Master the Levered DCF Versus LBO Distinction

A key question asks the difference between these two approaches. The levered DCF answers 'what should I pay' by discounting levered FCF at cost of equity. The LBO answers 'what return do I earn if I pay this price' by solving for IRR given a specific capital structure and exit assumptions.

Creative Business Valuation as an Opener

Rather than jumping into standard technical questions, Rothschild starts by asking how you would value a coffin company. This tests whether you can identify non-cyclical demand characteristics, demographic growth drivers, and apply standard frameworks to an unfamiliar business.

Tax Rate Derivation From Multiple Ratios

A multi-step problem provides leverage ratio, interest coverage, EBIT, and taxes paid, then asks you to derive the tax rate. The leverage ratio is a deliberate distraction. This tests whether you can identify which inputs are necessary and which are irrelevant.

Single-Input LBO Model Question

The interview asks what one input you would request from a CFO to build an LBO model. The answer is free cash flow (or its components), because it drives both debt paydown speed and IRR. This tests prioritization of what truly matters in LBO analysis.

Negative Enterprise Value Analysis

Rothschild asks whether EV can be negative and how to value a company in that situation. The interview explores whether it signals distress, excess cash, or market mispricing, and recommends using sum-of-the-parts and liquidation analysis rather than EV-based multiples.

This session simulates a Rothschild technical interview covering creative company valuation (coffin company with stable, non-cyclical demand), accounts receivable impact on DCF valuation, perpetuity valuation, the price/volume/cost preference framework with price elasticity considerations, mature versus high-growth capital structure differences, precedent transaction lookback period selection and justification, a multi-step quantitative problem deriving the tax rate from leverage ratio, interest coverage, EBIT, and taxes paid, EBITDA versus EBIT limitations and the case for EBITDA-minus-capex, preferred stock cost positioning in the capital structure, the single most important LBO model input (free cash flow), alternative debt capacity metrics (FCCR, DSCR), negative enterprise value scenarios and their valuation implications, levered DCF versus LBO model distinctions, all-stock and all-debt M&A accretion/dilution with breakeven pre-tax cost of debt calculation, and three places taxes affect a DCF.
